An overlay is a simple subtraction:
Overlay = guaranteed prize pool minus (entries x buy-in, net of rake)
If a tournament guarantees €10,000 and has collected €8,000 in prize pool contributions, there is a €2,000 overlay. Each entry's share of the added money is the overlay divided by the number of entries, so the value per seat depends on how many players are in.

An overlay only helps if you register before late registration closes. This is where the other half of the strategy sits.
GTO Wizard's ICM analysis of late registration found that a late entrant's seat is worth about 10.9% more than the buy-in in a standard MTT. In a flat-paying satellite the figure is about 29.76%. Both numbers are ICM seat equity, not ROI. They measure what the seat is worth in tournament equity terms when you enter late with a stack that is short relative to the average and fewer players left to outlast (GTO Wizard, ICM benefits of late registration).
The exception is PKOs. GTO Wizard found that a late starting stack in a PKO loses about 14% of its value, because the early bounty value you miss outweighs the ICM benefit (GTO Wizard, the hidden cost of late reg in PKOs). So the rule differs by format:

The two factors stack when they point the same way. A standard tournament with a visible overlay and a late reg window that is about to close is a different decision from the same tournament at the start, with a full-sized stack against a full field.

The problem is attention, not knowledge. During a multi-tabling session you can see a tournament, think about registering, return to your tables, and find the window closed. An overlay that exists at one moment can also disappear a few minutes later as late entries arrive.
